  1. An extraordinary general meeting (EGM) of MCU Ltd will take place at 6 pm on Wednesday 27 July 2022. Members can attend the Community Centre in person or they can participate via a live feed. Members will be able to vote and ask questions in person and remotely.
  1. The information package in relation to this meeting has been posted to each member at their last known address and has also been emailed to those members who have previously provided an email address. The email is from Vero Voting (the company MCU has engaged to host the meeting and independently supervise the voting) and will have a subject line “EGM Information for MCU Limited”. If you have not received this email, then please check in your junk or spam folders.
  1. The link to the information memorandum, proxy forms and registration to the meeting is below.  IF MEMBERS HAVE NOT RECEIVED EITHER THE PAPER OR ELECTRONIC COPY OF THE DOCUMENTS, THEN PLEASE EMAIL MCU AND WE WILL ARRANGE FOR COPIES TO BE PROVIDED. 
  1. Queensland Country Bank (QCB) and its staff working at Bunya House are not involved in this meeting, so please do not direct queries to them. Whilst QCB took a transfer of MCU’s previous banking business in 2021, it has no ongoing involvement in MCU’s business.  MCU still exists as a separate company with 3000 members and it owns Bunya House, with QCB and others as its tenants. The EGM is being called to decide the future of MCU.

The ADJOURNED 2021 AGM for MCU Ltd will be held on Wednesday 20 April 2022 at 5.30 PM via Zoom or at Jill Jordan Meeting Place, Bunya House, 28 Maple Street, Maleny (for those who cannot join via Zoom).

Members of MCU Ltd are encouraged to attend the meeting. The quorum for the meeting is 30 people, and at the meeting which took place on 29 January 2022, a quorum could not be achieved. COVID safe practices will apply to those who attend the meeting in person at Bunya House. However, members are encouraged to join the meeting via Zoom as the number of attendees at Bunya House will be limited to 15.

The Adjourned AGM will consider the financial statements for the year ending 30 June 2021 and will vote on the appointment of directors to fill a number of vacancies.

We hope members have had a pleasant experience banking with QCB. The transition has been very smooth from an administrative point of view.

Moving forward, you are still a member of MCU Ltd and have a $10 member share with us. MCU still owns the building, and QCB occupies the whole top floor as our tenant. We are working on plans for the use of the downstairs area.

The Board of MCU has not changed, and we are working, in a voluntary capacity, toward a new direction for MCU so that it can continue to support the community. There are some significant administrative issues that we are working through, but hope to update all members with some ideas for consideration in the next few months.

Auditor resignation and appointment

On 7 October 2021, the Company received notice that the Australian Securities & Investments Commission (“ASIC”) had consented to the resignation of BDO Audit Pty Ltd (the Company’s auditor). In accordance with requirements in the ASIC correspondence, the Company advises:

  1. The outgoing auditor is BDO Audit Pty Ltd (ACN 134 022 870, AAC 332285)(“BDO”).
  2. The incoming auditor is SAAS Audit Pty Ltd (ACN 164 950 056, AAC 458246).
  3. The reason for the proposed change in auditor is that following transfer of the banking business to Queensland Country Bank Limited, the Directors determined, in consultation with BDO, that a change in auditor would enable an auditor with a better fit for the change in the revised operations of the company and result in a more cost effective outcome for members.

We would like to take this opportunity to express our thanks to BDO for services provided to the Company since 2009 and during the transition of our banking business to Queensland Country Bank Limited.
